Defined Terms: References to “you”, “your” and “workshop” etc. shall be references to refer to the participating workshop (the person, firm or company participating in the Castrol Offer) and references to “we”, “our” “us” and “Castrol” shall be references to Castrol Limited (with its registered address at Technology Centre, Whitchurch Hill, Pangbourne, Reading RG8 7QR United Kingdom with company number 00149435). “Castrol Authorised Distributor” means a distributor appointed by Castrol to sell Castrol Products under valid authorised distribution agreement. “Castrol Group Company” means any company or legal entity that controls or is controlled by, or which is controlled by an entity which controls Castrol, where “control” means the ownership, directly or indirectly, of more than fifty percent of the voting rights in a company or other legal entity, the right to appoint the majority of the board of directors (or equivalent body) of a company or legal entity or the contractual right to exercise a controlling influence over a company or other legal entity and together the “Castrol Group Companies”. “Castrol Offer” has the meaning ascribed to it in Clause 1 (a). “Castrol Products” means lubricant products manufactured under the Castrol and/or bp brand. “Castrol SERVICE” means the “Castrol SERVICE” branding for specific workshops. “Trademark Permission Letter” means the letter signed by the relevant workshop and Castrol relating to the use of the Trade Marks. “Google My Business Listing” or “Profile” means the relevant workshop listing on Google to manage workshop online presence across Google providing key business information to customers online. “Google Account” means the workshop’s registration with Google providing a Google-wide username and password that can be used to access various Google services. “Primary Owner” means the user of the Google My Google Listing which is designated as the primary owner and can transfer primary ownership to another user. “Terms” means these terms and conditions on which the Castrol Offer is made. “Trade Marks” has the meaning given to it in the Trademark Permission Letter. “Signage” has the meaning given to it in the Trademark Permission Letter. 1. Castrol Offer a. Castrol’s “Google My Business” offer (the “Castrol Offer”) will include the following: (i) Castrol’s support to set up your Castrol SERVICE Profile in Google to manage your workshop’s online presence across Google, including in Google search and maps; and (ii) permission to use Castrol Trade Marks within your Google My Business Listing. b. In agreeing to participate in this Castrol Offer, you agree to be bound by these Terms and agree to comply with them. 2. Castrol Trademarks a. Subject to the provisions of the Trademark Permission Letter, you may: (iii) include “Castrol SERVICE” as part of the business name in your Google My Business Listing; and (iv) include the Trade Marks, without modification, in your Google My Business Listing, including images of the Signage displayed at the workshop’s business premises. 3. Workshop Obligations a. To benefit from the Castrol Offer you will need: (i) a valid contract with either a Castrol Group Company or a Castrol Authorised Distributor to sell Castrol Products; (ii) to follow Google’s standards for managing your Profile (see Clause 7 (What Google Expects From You)), this includes: o keeping your contact and business information on your Profile up-to-date; o ensuring the images in your Profile show Castrol SERVICE signage on your workshop building; and o responding to customers reviews at your Google My Business Listing in a timely and professional manner. b. You must notify us within 5 (five) working days of expiry or termination of your contract with a Castrol Authorised Distributor, following which we will terminate your access to the Castrol Offer in accordance with Clause 5 (Terminating the Castrol Offer). 4. Profile Ownership and Consent a. By accepting these Terms you agree to allow Castrol to be the Primary Owner of your Google My Business Listing. b. We will designate you as the business owner of your Profile which will give you the same access as a Primary Owner but you will not be able to transfer primary ownership of your Profile to another user. c. As the business owner of your Google My Business Listing, you have the right to determine whether Castrol has co-ownership rights over your Profile, or no access at all. If you would like to request ownership changes to your Profile, please contact us via https://maps.castrol.com/admin/#/gmb-support 5. Terminating the Castrol Offer a. We may, at our discretion end the Castrol Offer with you with immediate effect by removing Castrol’s designation as a Primary Owner of your Profile and transferring primary ownership in your Profile to you, including in the following circumstances: (i) Castrol determines that you are not meeting the requirements expected of you as set out in these Terms including those set out in Clause 3 (Workshop Obligations) and Clause 6 (Managing Your Google My Business Listing); (ii) you have breached a term of the Trademark Permission Letter; and/or (iii) you have not complied with any applicable Google terms (see Clause 7 (What Google Expects From You)). b. Where we terminate the Castrol Offer you will be required to: (i) cease use of the Trade Mark and any associated images within your Google My Business Profile; (ii) cease representing yourself as having any association with Castrol or the Castrol SERVICE network within your Google My Business Profile; and c. Google also has the right to terminate your Google My Business Listing if certain standards are not met https://policies.google.com/terms?hl=en-en d. Where we have terminated the Castrol Offer with you and you have not removed references to Castrol, Castrol SERVICE or the Trade Marks we will be entitled to make all necessary changes to your Profile to remove any association between the workshop and Castrol or the Castrol SERVICE network before we transfer primary ownership in your Profile to you. 6. Managing Your Castrol SERVICE Google My Business Listing a. In order to manage your Profile, you must: (i) keep all information in your Google My Business Listing up to date directly through your Google Account, including workshop address, workshop telephone number, workshop website address, workshop email and workshop opening hours; (ii) promote your Castrol SERVICE workshop by adding promotional content relevant to consumers such as photographs of the exterior and interior of the workshop with Castrol SERVICE Signage , Castrol products or offers; (iii) promptly respond to your customers reviews and questions (both positive and negative). What Google Expects From You a. Google have their own terms in which you must respect and adhere to. Your Data a. Your business name, address and owner email address will be stored by our agency partners to monitor verification requests, resolve issues with your Profile and for reporting purposes. b. You warrant that all information provided by you in relation to the Castrol Offer is true and correct. Castrol will not be liable to you in case any of the information disclosed by you is found to be false, untrue, misleading or misrepresentative, and is not responsible for verifying the accuracy of such information. c. Castrol’s Liability a. Castrol and all Castrol Group Companies will not have any liability to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with (i) the Castrol Offer or (ii) use of, or inability to use, your Google My Business Listing. b. Castrol and all Castrol Group Companies will not be liable to you for loss of profits, sales, business, or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation, any indirect or consequential loss or damage. c. Nothing in these Terms shall be construed as limiting or excluding Castrol or a Castrol Group Company’s liability for fraud, death or personal injury caused by negligence, or any other liability to the extent the same may not be excluded as a matter of law. 10. Governing Law a. These Terms and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with English law. Disputes arising out of or in connection with either the Castrol Offer or these Terms shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
